Mariano del Olmo

Mariano is a partner at del Olmo Legal, focusing his practice on mergers & acquisitions, corporate law, real estate, and complex disputes.
For more than two decades, he was part of one of Argentina’s leading firms, where he became partner and head of the M&A, corporate and real estate practices.
He has consistently advised multinationals and leading companies in sectors such as industry, consumer goods, technology, real estate, advertising, and finance. He has taken part in high-profile corporate disputes and in complex acquisitions and reorganizations.
He is Professor and Co-Director of the Postgraduate Program in Mergers & Acquisitions (UBA), with numerous publications in commercial, corporate, and real estate law.
In addition, he is the founder of ILIC (International Legal Inner Circle), a global network bringing together more than 1,000 top-tier professionals worldwide.

Representative experience

– Mergers & Acquisitions / Corporate Law

  • Lead or co-lead in complex acquisitions and reorganizations, including the acquisition of Grupo Peñaflor S.A. by Grupo Bemberg (2010–2011).
  • Counsel to Grupo Peñaflor in the acquisition of The Wine Group Argentina S.A. and Diageo Argentina S.A., as well as agreements relating to the production and/or distribution in Argentina of Diageo’s portfolio.
  • Counsel in local acquisitions for Godrej Group, Opus Group, WPP Group, Prime, Simbiose, among others, as well as in multiple mergers, acquisitions, and corporate reorganizations.

– Corporate Disputes

  • Lead or co-lead in major corporate conflicts:
    • Papel Prensa vs. Argentine State (2009–2014).
    • Siderar (Techint) vs. ANSES (2011–2012).
    • WPP Group vs. minority shareholders in Argentina.

Post-closing M&A disputes: earn-outs, purchase price adjustments, reps & warranties, indemnities, escrow.

– Clients and general counsel

  • He has advised on corporate, contractual and litigation matters for companies such as Godrej (Laboratorio Cuenca and others), Grupo Peñaflor, WPP Group (Young & Rubicam, GroupM), Black & Decker, Experian, General Motors, Solar Turbines, Casio, CALSA, Opus Group, ChampionX and Siemens, among others.
  • Technical contributions to the National Government on foreign investment and rural land regulations.
